# Legal overview

Who operates Suno, who issues its tokens, and what tokenholders own.

Ensuro Re Ltd. issues Suno's tokens for the Suno Reserve segregated account. Suno Investments S.A. directs the protocol and operates the platform. Ensuro is incorporated in Bermuda; Suno Investments is incorporated in Panama.

## What you own

Tokens provide contractual economic rights, not equity in Suno or Ensuro, ownership of a solar plant, or voting rights in the project companies.

pWatt finances a project's development and construction. After the project enters operation and its pWatts move into the Reserve, investors participate in the portfolio through uWatt. Staking uWatt produces c-uWatt shares through which funded rewards accrue.

## How the legal structure protects holders

The segregated account separates the Reserve's attributable assets and liabilities from Ensuro's general account and other segregated accounts. The backing includes contractual rights to project cash flows and interests in financial assets; the physical plants are held outside the issuer's structure.

uWatt holder claims are limited to the Reserve assets attributable to that account and rank behind its present and future unsubordinated creditors. Holders of the same class rank equally. The terms specify exceptions concerning fraud, gross negligence, and wilful misconduct. Segregation does not guarantee asset value or repayment, and tokens have no deposit insurance.
