# Terms and conditions

The full participation terms and uWatt offering, with a short guide to your rights and obligations.

The Terms and Conditions govern use of Suno's platform and the acquisition, holding, and transfer of its tokens. The uWatt offering adds issuance-specific terms and prevails where the two conflict.

This page is a summary. The PDFs contain the full governing terms.

## Participation and holder rights

Participation requires compliance with the [eligibility and verification requirements](/legal/eligibility-and-onboarding.md). Tokens confer contractual economic rights, not company equity or ownership of a plant. uWatt claims are limited and subordinated as explained in the [legal overview](/legal/introduction.md).

Staking rewards depend on funded distributions and the applicable participation conditions. Neither a return nor preservation of principal is guaranteed.

## Transfers and redemption

Tokens may trade on independent secondary markets, subject to applicable restrictions and available buyers. Suno does not operate those markets or guarantee their prices.

pWatt has no general redemption right against Suno. uWatt's official redemption channel is conditional on eligibility, available liquidity, and the applicable safeguards; it is not an unconditional repayment obligation. The offering caps the redemption fee at 0.5%. See [Using uWatt](/for-depositors/uwatt.md) for the process.

## Changes, interruptions, and remedies

The terms permit specified suspensions and emergency actions. Material amendments require advance notice, while changes fundamentally altering the tokens require explicit holder consent. Administrative corrections may take effect immediately. Continued use or holding after an amendment takes effect constitutes acceptance under the terms.

The full documents also define default and insolvency events, collective remedies, and limits on liability. Read them alongside [Risks and protections](/overview/risk-management.md).

## Taxes, disputes, and notices

You are responsible for your own tax obligations. Suno does not provide investment or tax advice. Bermuda law governs the terms, and disputes are settled by arbitration seated in Bermuda under the stated rules.

Send formal notices and questions to <admin@suno.finance>.

## Querying This Documentation
If you need additional information that is not directly available in this page, you can query the documentation by asking a question.

Perform an HTTP GET request on the following URL with the `ask` and `goal` query parameters:

```
GET https://docs.suno.finance/legal/terms-and-conditions.md?ask=<question>&goal=<user_goal>
```

`ask` is the immediate question: it should be specific, self-contained, and written in natural language.
`goal` is what the user is ultimately trying to achieve, the reason they need the answer. Sharing it helps GitBook give you a better, more relevant answer. A goal is most helpful when it describes the outcome the user wants rather than restating the question. For example, with `ask=how do I create an API token`, a goal like `automate deployments from our CI pipeline` lets GitBook tailor the answer to that use case.

The response will contain a direct answer to the question and relevant excerpts and sources from the documentation.

Use this mechanism when the answer is not explicitly present in the current page, you need clarification or additional context, or you want to retrieve related documentation sections.
